Terms of service: Welcome to ResoBook (the “Service”), a service of ResoSolutions, a company registered in Canada whose registered number is 2196715 Ontario Inc.
Acceptance of Terms: By accepting these terms of service (“Terms”) or by accessing or using the Service, You acknowledge that you have read, understood, and agree to be bound by these Terms. If You are entering into these Terms on behalf of a company or other legal entity, You represent that You have the authority to bind such entity to these Terms, in which case the terms “you” or “your” shall refer to such entity. If You do not have such authority, or if you do not agree with these Terms, You must not accept these Terms and may not use the Service.
Changes to Terms: ResoSolutions may update and change the Terms from time to time without notice. Any new features or tools shall be considered part of the Service and subject to the Terms. Continued use of the Service after any such changes shall constitute your consent to such changes.
Registration: You may not create an account if you are a robot, “bot” or other automated thing. You must provide full and accurate registration details when you create an account to use the Service, and you must maintain these details up-to-date at all times. You must keep your user name and password confidential and are fully responsible for any and all activities that occur under your login parameters.
General conditions: You agree not to use the Service in any unlawful manner or in any manner that interferes with or disrupts the integrity or performance of the Service and its components. You understand that the technical processing and transmission of the Service, including your data, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices and (c) transmission to ResoSolutions’s third party vendors and partners who provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
You agree not to reproduce, sell, or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of ResoSolutions. Any neglect or failure by ResoSolutions to enforce any of these Terms shall not be construed as a waiver or variation of these Terms or otherwise prejudice any of the ResoSolutions’s rights under them.
Disclaimer & Limitation of Liability: The service is provided on an “as is” and “as available” basis without any warranties of any kind, to the fullest extent permitted by law. ResoSolutions expressly excludes any and all warranties, whether express or implied, whether by common law, statute, trade usage, course of dealings or otherwise.
You acknowledge that ResoSolutions does not warrant that the Service will be uninterrupted, timely, secure, error-free or virus-free and no information or advice obtained by you from ResoSolutions or through the Service shall create any warranty not expressly stated in these Terms.
Under no circumstances, whether in contract, tort, or otherwise, shall ResoSolutions be liable to you or any third party for any direct or indirect damages (including lost profits, lost sales or business, lost data or business interruption) totaling more than your most recent month’s invoice and proof of payment for the Service.
However, nothing in these Terms shall be taken to limit or exclude either party’s liability for any act or omission for which the exclusion or limitation of liability is prohibited by law.
Payments & Pricing: The Service is made available on a month-to-month basis. All accounts come with an initial 30-day free trial period. The Service is billed on a monthly basis and is nonrefundable.
For any upgrade or downgrade in plan level part way through the month, you will be charged a prorated amount for the current month, and then the full new amount from the following month onwards. Downgrading your account may cause the loss of data, features, or capacity of your account. ResoSolutions does not accept any liability for such loss.
Prices of all Services, including but not limited to monthly fees to the Service, are subject to change upon 60 days notice from us. Such notice may be provided at any time. Your account may be suspended or terminated if you do not pay the fees as they fall due.
Cancellation / Termination: You may cancel your account at any time by providing 30 days written notice. All of your data will be immediately removed from the Service upon cancellation. This information cannot be recovered once your account is canceled. ResoSolutions, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, for any reason at any time.
Jurisdiction: These Terms shall be governed by and construed in accordance with Canadian law. Any dispute arising out of use of the Service shall be subject to the jurisdiction of the Canadian courts.
